1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and EnCiro ("EnCiro," "we," "us," or "our"), governing your access to and use of the EnCiro platform, including all associated websites, applications, content, features, and services (collectively, the "Service").

By creating an account, purchasing access, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules posted on the Service. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Important Disclaimer — No Affiliation with CIRO

EnCiro is an independent, third-party exam preparation platform. EnCiro is not affiliated with, endorsed by, sponsored by, or in any way officially connected to the Canadian Investment Regulatory Organization (CIRO), the Canadian Securities Institute (CSI), or any other regulatory body, examination authority, or self-regulatory organisation.

The terms "CIRE" (Canadian Investment Regulatory Examination) and "RSE" (Regulatory and Securities Examination) are used solely to identify the examinations for which our study materials are designed. Their use does not imply any endorsement, sponsorship, or official relationship.

Our materials are supplementary study aids only. They should not be used as your sole source of exam preparation and are not a substitute for official study materials, course curricula, or professional instruction provided by accredited institutions.

3. Description of Service

EnCiro is an AI-powered exam preparation platform designed to help Canadian candidates prepare for the Canadian Investment Regulatory Examination (CIRE) and related securities examinations. The Service includes, but is not limited to, the following features and components:

3.1 Quiz and Assessment System

  • 12,000+ scenario-based practice questions organised by the 9 CIRE curriculum elements, with multiple difficulty levels and cognitive categories
  • Custom mock exam builder allowing users to configure practice tests by element, topic, difficulty, and question count
  • Detailed answer explanations with per-option feedback, regulatory references, and concept breakdowns
  • Daily challenge — a new scenario-based question published each day
  • Quiz history, attempt tracking, and score analytics across all quiz types

3.2 Learning Centre

  • 9 comprehensive learning modules covering the full CIRE curriculum: Regulatory Framework, Client Relationships, Know Your Client (KYC), Complaint Handling, Market Analysis, Trading Rules, Securities, Derivatives, and Ethics & Professional Conduct
  • Structured concept-based lessons with reading materials, key takeaways, and regulatory context
  • Progress tracking across modules and concepts

3.3 AI Tutor

  • Conversational AI study assistant powered by third-party large language model technology, providing real-time explanations of regulations, concepts, and exam strategies
  • Credit-based usage model with allocations determined by your purchased access tier
  • Conversation history storage for continuity across study sessions

3.4 Performance Analytics

  • Dashboard with element-by-element accuracy, attempt counts, and progress tracking
  • Difficulty-level and cognitive-level performance breakdowns
  • Score progression charts and performance visualisations
  • Achievement and badge system with milestone tracking

3.5 Content and Resources

  • Blog articles covering CIRE exam strategies, study approaches, and regulatory topics
  • Sample questions for prospective users to evaluate the platform

We reserve the right to modify, suspend, or discontinue any feature or component of the Service at any time, with or without notice.

4. User Accounts and Registration

Access to the Service requires the creation of a user account. By registering, you agree to the following:

  • You will provide accurate, current, and complete information during registration and will update such information to keep it accurate and current
  • You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password
  • You are responsible for all activities that occur under your account, whether or not authorised by you
  • You will immediately notify us of any unauthorised access to or use of your account
  • You will not create more than one account per person, and you will not create an account on behalf of another person without their permission

Account sharing is strictly prohibited. Each account is licensed for use by a single individual. Sharing account credentials, session tokens, or access with any other person — whether for free or for payment — constitutes a material breach of these Terms and will result in immediate account termination without refund.

We reserve the right to suspend or terminate accounts that we reasonably believe are being shared, accessed from an unusual number of devices or locations, or used in a manner inconsistent with individual use.

5. Purchases, Payments, and Access

5.1 Access Tiers

The Service offers the following access tiers, each with distinct feature availability:

  • Free ($0): Limited access including a capped number of practice quizzes, limited learning concepts, limited AI Tutor credits, daily challenge access, and basic feedback
  • Learn (Paid — one-time): Full Learning Centre access, expanded quiz access, AI Tutor credits, and progress tracking for a fixed access period of 6 months from the date of purchase
  • Pro (Paid — one-time): Unlimited practice quizzes, unlimited custom mock exam builder, expanded AI Tutor credits, full performance analytics, and all Learn features for a fixed access period of 6 months from the date of purchase

Feature availability per tier is subject to change. We will provide reasonable notice of material changes to access tier benefits.

5.2 Payment and Billing

  • Paid access is purchased as a one-time payment, not a recurring subscription. There are no automatic renewals or recurring charges
  • All payments are processed through Stripe, Inc., a third-party payment processor. By purchasing, you agree to Stripe's terms of service in addition to these Terms
  • All prices are quoted in Canadian Dollars (CAD) unless otherwise stated
  • Upon successful payment, your access is activated immediately and remains active for 6 months from the date of purchase

5.3 Access Expiration

  • Paid access expires 6 months from the date of purchase. Upon expiration, your account reverts to the Free tier and you will lose access to paid features
  • Your quiz history, progress data, and analytics may be retained after expiration but will not be accessible until you purchase access again
  • We do not provide prorated refunds for unused portions of your access period

5.4 AI Tutor Credits

  • AI Tutor credits are allocated based on your access tier at the time of purchase
  • Credits are non-transferable and cannot be exchanged, sold, or gifted to other users
  • Once credits are exhausted, AI Tutor access is unavailable until additional credits are obtained through a new purchase or tier upgrade

5.5 Refund Policy

All purchases are final. Due to the immediate delivery of digital content and access upon payment, we generally do not offer refunds. If you believe you have been charged in error, you may reach out to us through the platform within 14 days of purchase.

5.6 Price Changes

We reserve the right to modify pricing at any time. Price changes do not affect existing purchases — your access period and features remain as they were at the time of your purchase.

6. Intellectual Property Rights

6.1 Ownership

All content, materials, features, and functionality available through the Service are the exclusive property of EnCiro and are protected by Canadian and international copyright, trademark, trade secret, and other intellectual property laws. This includes, without limitation:

  • Practice questions, answer options, answer explanations, and question metadata (difficulty ratings, element classifications, cognitive levels, scenario descriptions)
  • Learning Centre content, module materials, concept explanations, regulatory summaries, and educational articles
  • Daily challenge questions and associated content
  • AI Tutor system prompts, conversation templates, and the proprietary logic governing AI-generated responses within the Service
  • Images, diagrams, charts, illustrations, and multimedia content displayed within the Service
  • The structure, organisation, and sequencing of learning modules, curriculum mappings, and question categorisations
  • Software source code, user interface designs, algorithms, database schemas, and system architecture
  • The EnCiro name, logo, branding elements, and all associated trademarks and trade dress
  • Blog posts, editorial content, and marketing materials published on the platform
  • Analytics methodologies, scoring algorithms, performance calculation formulas, and achievement system designs

6.2 Limited Licence to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service and its content solely for your personal, non-commercial educational purposes during the term of your active account or paid access period.

This licence specifically does not include the right to:

  • Copy, reproduce, download, screenshot, screen-record, photograph, or capture any content by any means
  • Distribute, share, publish, broadcast, or make available any content to any third party
  • Modify, adapt, translate, or create derivative works based on any content
  • Sell, resell, licence, sublicence, rent, or lease any content or access to the Service
  • Use any content to build, train, or improve any competing product, service, question bank, study guide, or educational resource
  • Frame, embed, mirror, or display any content on any other website or application

This licence terminates immediately upon termination of your account, expiration of your paid access, or any breach of these Terms — whichever occurs first. Upon termination, you must destroy all copies of our content in your possession.

7. Content Protection and Technical Safeguards

EnCiro implements technical measures to protect its proprietary content, including but not limited to copy prevention mechanisms, authenticated content delivery, and access controls. You expressly agree that you will not:

  • Circumvent, disable, bypass, or interfere with any content protection or access control mechanism deployed on the platform
  • Use browser developer tools, extensions, scripts, or any other technical means to extract, copy, or capture protected content
  • Intercept, record, or capture network requests, API responses, or data transmissions between the Service and your device for the purpose of extracting content
  • Use screen capture, screen recording, optical character recognition (OCR), or similar tools to reproduce content displayed on the platform
  • Manually transcribe, dictate, or otherwise reproduce content by hand or voice
  • Develop, distribute, or use any tool, script, bot, or software designed to interact with the Service in an automated manner or to extract content from the Service

Circumvention of any content protection measure is a material breach of these Terms and may constitute a violation of applicable anti-circumvention laws, including the Canadian Copyright Modernization Act and the U.S. Digital Millennium Copyright Act (DMCA).

8. Prohibited Data Usage

The following activities are strictly prohibited and constitute a material breach of these Terms:

  • Reproducing, copying, duplicating, or downloading any practice questions, answer options, answer explanations, learning content, or any other proprietary content from the Service
  • Sharing, distributing, forwarding, posting, or transmitting any content from the Service to any third party through any medium, including but not limited to messaging applications, social media platforms, forums, email, file-sharing services, study groups, or physical reproduction
  • Reusing, repurposing, or incorporating any content obtained from the Service into any external resource, study guide, question bank, publication, or educational material — whether for personal or commercial use
  • Creating derivative works, compilations, or summaries based on our content, including paraphrased or reorganised versions of our questions, explanations, or study materials
  • Using any content from the Service to develop, train, fine-tune, or evaluate any artificial intelligence model, machine learning system, language model, or automated system
  • Extracting, scraping, crawling, harvesting, or systematically collecting data from the Service using automated tools, bots, spiders, or manual methods
  • Using our content for any commercial purpose, including but not limited to creating competing exam preparation services, tutoring materials, or study resources for sale or distribution
  • Storing, archiving, caching, or maintaining copies of our content beyond what is temporarily necessary for viewing during an active session
  • Reverse engineering, decompiling, or attempting to reconstruct our question database, scoring algorithms, or any other proprietary system
  • Photographing, screen-capturing, or recording any content displayed on the Service for any purpose other than momentary personal reference during active study

Any violation of these data usage restrictions will result in immediate and permanent account termination without refund, and we will pursue all available legal remedies, including claims for damages, injunctive relief, and recovery of legal costs.

9. Acceptable Use Policy

You agree to use the Service only for its intended purpose — personal exam preparation — and in compliance with all applicable laws. You agree not to:

  • Use the Service for any unlawful, fraudulent, or malicious purpose
  • Share, sell, rent, or otherwise transfer your account access to any other person
  • Attempt to gain unauthorised access to any part of the Service, other user accounts, or our servers and systems
  • Interfere with, disrupt, or place an unreasonable burden on the Service or its underlying infrastructure
  • Introduce viruses, malware, trojans, or any other harmful code into the Service
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Use the AI Tutor to generate content that violates these Terms or for purposes unrelated to CIRE/RSE exam preparation
  • Manipulate achievements, progress metrics, or any gamification feature through artificial or dishonest means
  • Exploit bugs, errors, or vulnerabilities in the Service rather than reporting them to us
  • Use referral codes fraudulently or create accounts solely to exploit referral benefits

10. AI Tutor — Terms of Use

The AI Tutor is a conversational study assistant that uses third-party large language model technology (currently powered by Anthropic) to provide educational support. By using the AI Tutor, you acknowledge and agree to the following:

  • AI-generated responses are for educational purposes only and should not be relied upon as a sole source of regulatory, financial, or professional advice
  • AI responses may contain inaccuracies, incomplete information, or errors. You are responsible for verifying all information independently against official regulatory sources
  • The AI Tutor operates on a credit-based system. Credits are allocated based on your access tier and are consumed per conversation interaction
  • We reserve the right to modify the AI Tutor's capabilities, credit allocations, token limits, and underlying model at any time
  • You will not use the AI Tutor to attempt to generate, extract, or reconstruct our proprietary practice questions, explanations, or study content
  • Conversation data is stored for service delivery and may be retained for abuse prevention purposes. Your conversations are not used to train AI models
  • We are not liable for any decisions, actions, professional outcomes, or exam results based on information provided by the AI Tutor

11. User-Generated Content

Certain features allow you to create content within the Service, including AI Tutor conversations and quiz responses ("User Content").

  • You retain ownership of the original text you write in conversations. However, you grant EnCiro a non-exclusive, worldwide, royalty-free licence to store, process, display, and transmit your User Content as necessary to operate and provide the Service
  • User Content that incorporates, references, or is derived from our proprietary content (such as conversations referencing specific quiz questions or explanations) remains subject to all restrictions in these Terms
  • You are solely responsible for your User Content and warrant that it does not infringe any third-party rights or violate any applicable laws
  • We reserve the right to remove any User Content that violates these Terms, without prior notice
  • We do not guarantee the preservation, backup, or recovery of User Content. You are responsible for maintaining your own records of any original content you create

12. Enforcement and Remedies

EnCiro actively monitors for unauthorised use of its content and intellectual property. In the event of any violation of these Terms — including but not limited to unauthorised copying, distribution, scraping, or circumvention of content protection measures — we reserve the right to take any or all of the following actions:

  • Immediately and permanently terminate your account and all associated access, without refund of any fees paid
  • Pursue civil legal action against you, including claims for copyright infringement, breach of contract, misappropriation of trade secrets, unjust enrichment, and any other applicable causes of action
  • Seek injunctive and equitable relief to prevent further unauthorised use of our content
  • Seek recovery of actual damages, statutory damages, lost profits, and all legal fees and costs incurred in enforcing these Terms
  • File DMCA takedown notices, copyright infringement claims, or equivalent notices under applicable law against any website, platform, or service hosting our stolen content
  • Report violations to relevant law enforcement authorities, financial regulatory bodies, and professional organisations where applicable
  • Pursue criminal referrals where the conduct constitutes a criminal offence under applicable law

These remedies are cumulative and not exclusive. Pursuing one remedy does not waive our right to pursue any other. We will pursue all available legal remedies to the fullest extent permitted by law.

13. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The content, practice questions, explanations, or AI Tutor responses will be accurate, complete, reliable, current, or aligned with current CIRO regulations or examination content
  • The Service will meet your specific requirements or expectations
  • Use of the Service will result in passing the CIRE, RSE, or any other regulatory or professional examination
  • Any errors or defects in the Service will be corrected

EnCiro is a study aid and exam preparation tool. It is not a substitute for formal education, official course materials, or professional instruction. Examination outcomes depend on numerous factors beyond our control — including but not limited to your prior knowledge, study effort, exam conditions, and changes to exam content by regulatory authorities — and we make no guarantees regarding examination results, licensing outcomes, or career advancement.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall EnCiro, its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, data, goodwill, use, or other intangible losses, arising out of or related to:

  • Your access to, use of, or inability to use the Service
  • Any content, information, or recommendations obtained from the Service, including AI Tutor responses
  • Unauthorised access to or alteration of your data or transmissions
  • Any examination results, licensing outcomes, employment decisions, or professional consequences arising from your use of the Service
  • Any conduct or content of any third party on the Service
  • Changes to CIRO regulations, exam formats, or exam content that render our materials outdated or inaccurate

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed the amount you have paid to us for your current access period, or one hundred Canadian Dollars (CAD $100), whichever is greater.

15. Indemnification

You agree to indemnify, defend, and hold harmless EnCiro, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) your User Content; or (e) any unauthorised use, copying, or distribution of our content. This indemnification obligation survives the termination of these Terms and your use of the Service.

16. Termination

16.1 Termination by You

You may request account deletion at any time through the platform. Account deletion will be processed within 30 days in accordance with our Privacy Policy.

16.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of any provision of these Terms
  • Unauthorised copying, distribution, or use of our content
  • Account sharing or multiple account creation
  • Circumvention of content protection or access control measures
  • Fraudulent, abusive, or illegal activity
  • Fraudulent use of referral codes or promotional offers
  • Conduct that we reasonably believe is harmful to other users, the Service, or our business

16.3 Effects of Termination

  • All licences granted to you under these Terms terminate immediately
  • You must immediately cease all use of the Service and destroy any copies of our content in your possession
  • We may delete your account data, including User Content, progress data, and analytics, at our discretion
  • No refunds will be issued for accounts terminated due to violations of these Terms
  • Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, content restrictions, indemnification, limitation of liability, and dispute resolution provisions

17. Privacy and Data Collection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you acknowledge that we collect and process certain data, including but not limited to:

  • Account information (email, name, profile data)
  • Usage data (quiz responses, scores, progress, time spent, feature usage patterns)
  • AI Tutor conversation data (messages, token usage, credit consumption)
  • Analytics data collected through PostHog and Google Tag Manager, including session activity, event tracking, and engagement metrics
  • Payment information processed through Stripe (we do not store your full credit card details)
  • Device and browser information, IP addresses, and access logs

We use this data to operate, improve, and personalise the Service, process payments, communicate with you, enforce these Terms, and for analytics and research purposes as described in our Privacy Policy.

18. Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to:

  • Stripe — payment processing and billing
  • Supabase — data storage, authentication, and database services
  • Anthropic — AI language model provider powering the AI Tutor
  • PostHog — product analytics and event tracking
  • Google Tag Manager — analytics and advertising attribution
  • Vercel — hosting and deployment infrastructure

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, security, or practices of any third-party services. Links to external websites or resources do not imply endorsement.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of competent jurisdiction located in the Province of Ontario, Canada. You irrevocably submit to the exclusive jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

20. Changes to Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. We will notify users of material changes by posting the updated Terms on the Service and updating the "Last updated" date at the top of this page. For significant changes, we may also provide notice via email or an in-app notification.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.

21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EnCiro regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

21.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

21.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of EnCiro.

21.4 Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms without restriction.

21.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, or third-party service outages.
